These Terms constitute a legally binding agreement between you and the Lere Chamber of Commerce, Industry, Mining & Agriculture ("LECCIMA," "we," "us," or "our").
We reserve the right to modify these Terms at any time. Changes become effective upon posting on our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.
2. Eligibility and Membership
**Website Access:**
Our website is available to all visitors for informational purposes. Certain features and services require membership registration.
**Membership Eligibility:**
Membership is open to:
- Registered businesses operating in Lere LGA and Kaduna State
- Business associations and cooperatives
- Individual entrepreneurs and professionals
- Non-governmental organizations engaged in economic activities
- Government agencies (associate membership)
**Membership Application:**
- Applicants must provide accurate and complete information
- LCCIMA reserves the right to verify submitted information
- Membership approval is at the sole discretion of LCCIMA
- False or misleading information may result in membership denial or termination
**Membership Categories:**
Different membership tiers have varying benefits and obligations. Members must comply with the specific terms of their membership category.
3. Member Obligations
As a member, you agree to:
**Financial Obligations:**
- Pay membership dues promptly according to your membership tier
- Settle event registration fees and service charges as applicable
- Notify LCCIMA of any billing disputes within 30 days
**Conduct Standards:**
- Act ethically and professionally in all Chamber-related activities
- Respect other members, staff, and partners
- Refrain from activities that harm LCCIMA's reputation
- Comply with all applicable Nigerian laws and regulations
**Information Accuracy:**
- Maintain accurate and updated contact information
- Notify LCCIMA of significant business changes
- Provide truthful information in all communications
**Participation:**
- Engage constructively in Chamber activities
- Provide feedback when requested
- Promote the Chamber's mission within your network
**Prohibited Activities:**
- Using LCCIMA platforms for unauthorized commercial solicitation
- Misrepresenting your association with LCCIMA
- Sharing confidential member information
- Engaging in discriminatory or harassing behavior
4. Intellectual Property
**LCCIMA's Rights:**
All content on this website, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of LCCIMA or its content providers and is protected by Nigerian and international copyright laws.
**Trademarks:**
The LCCIMA name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of LCCIMA. You may not use such marks without our prior written permission.
**Limited License:**
We grant you a limited, non-exclusive, non-transferable license to access and use our website for personal, non-commercial purposes. This license does not include:

- Commercial use without authorization

7. Limitation of Liability

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
**Limitation of Damages:**
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LCCIMA SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, or business opportunities
- Damages arising from your use or inability to use our services
- Actions of third parties, including other members
- Inaccuracies in information provided
**Maximum Liability:**
Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount of membership fees paid by you in the twelve (12) months preceding the claim.
**Indemnification:**
You agree to indemnify and hold harmless LCCIMA, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your violation of these Terms or your use of our services.
8. Termination
**By Member:**
You may terminate your membership at any time by providing written notice to LCCIMA. Termination does not entitle you to a refund of paid fees unless otherwise required by law.
**By LCCIMA:**
We may suspend or terminate your membership or website access for:
- Violation of these Terms
- Non-payment of membership dues
- Conduct detrimental to LCCIMA or its members
- Fraudulent or illegal activities
- Any reason at our sole discretion with reasonable notice
**Effects of Termination:**
Upon termination:
- Your access to member-only features will be revoked
- Outstanding payments remain due
- Provisions regarding intellectual property, limitation of liability, and dispute resolution survive termination
**Reinstatement:**
Former members may apply for reinstatement subject to LCCIMA approval and settlement of any outstanding obligations.
9. Dispute Resolution
**Informal Resolution:**
Before initiating formal proceedings, you agree to contact LCCIMA to attempt informal resolution of any dispute. We will work in good faith to resolve concerns within 30 days.
**Mediation:**
If informal resolution fails, parties agree to attempt mediation through a mutually agreed mediator or the Lagos Multi-Door Courthouse before pursuing litigation.
**Arbitration:**
Disputes not resolved through mediation shall be submitted to binding arbitration under the Arbitration and Conciliation Act (Cap A18, LFN 2004). The arbitration shall be conducted in Kaduna, Nigeria, in English.
**Governing Law:**
These Terms are governed by the laws of the Federal Republic of Nigeria. Any litigation shall be brought exclusively in the courts of Kaduna State, Nigeria.
**Class Action Waiver:**
You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.
**Time Limitation:**
Any claim arising from these Terms must be brought within one (1) year of the event giving rise to the claim.
10. Amendments and General Provisions
**Amendments:**
LCCIMA reserves the right to modify these Terms at any time. Material changes will be communicated via email and website notice. Continued use after changes constitutes acceptance.
**Severability:**
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
**Waiver:**
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.
**Entire Agreement:**
These Terms, together with our Privacy Policy and any applicable membership agreements, constitute the entire agreement between you and LCCIMA regarding use of our services.
**Assignment:**
You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations without restriction.
**Force Majeure:**
LCCIMA shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or government actions.
**Language:**
These Terms are written in English. In case of any translation, the English version shall prevail.
